Management look-back: The previous five years are examined for specified integrity, companies-law or securities-law sanctions and bankruptcy proceedings involving top management. Reinstatement matters to the bankruptcy condition. This company-licensing look-back is not a universal limit on individual approval checks.
Management experience: All executive-management members and at least one third of top management must have a high level of securities-market experience.
Application history and holdings: Where applicable provide the last three financial years of statements and identify shareholders holding more than 5% of company capital. Exactly 5% does not meet this application threshold; the later annual public-company ownership report uses 5% or more.
Complete-application decision: QFMA decides a complete application within 90 days. Silence after 90 days means rejection unless QFMA has specifically notified the applicant that it needs a longer assessment period and stated its duration. Outcomes are approval with conditions, approval without conditions or refusal.
Decision notification: Notify the applicant in writing within ten business days of the decision, by registered letter unless another communication method has been agreed.
Refusal complaint: Send a written complaint to the appeal committee by registered mail within 15 business days after receiving the rejection letter. The receipt-based complaint period differs from decision-based notification.
Resubmission and transfer: A rejected applicant may resubmit one Gregorian year after the rejection decision. A licence cannot be transferred, sold, given away or used as mortgage collateral.
Starting the activity: Begin within six months of the licence grant. One extension of up to six months may be requested, with justifications approved by QFMA. Otherwise the licence is void.
Three function groups: Significant-influence functions cover board and key management roles; technical functions cover securities experts and operational specialists; compliance-monitoring functions cover compliance, AML/CFT, risk management and internal audit.
Individual licence renewal: An approved-person licence lasts two years and must be renewed before expiry with the required professional development. Approval-only individuals are exempt from this two-year licence-renewal requirement.

Chapter 1: Licensing Conditions and Procedures

The QFMA regulates the securities market in Qatar, including public issuance and investor trading. A licence is required for activities such as executing securities orders for others, own-account dealing, organising securities trading, providing or arranging custody, securities advice, investment management, investment trusteeship, underwriting and securities-issuance management. A financial services company is the licensed entity; a representative acts for it in name and responsibility, while an agent acts for payment without being an employee or owner.

Only a Qatari company may normally be licensed, and it must conduct only one or more QFMA-regulated financial services. The application conditions address management history, experience, legal proceedings, minimum paid-up capital, guarant…
