  • Fund termination: 21 days' notice before intended termination; 5 days to notify if event triggers termination; 70 days for final report; 6 months to complete liquidation from fund expiry.
  • Custodian independence: must not be affiliate of fund manager; must be CMA-licensed for custody.
  • Asset ownership: unitholders own collectively — not custodian, not fund manager.
  • Asset segregation: separate bank account per fund; real estate registered in custodian's fully owned subsidiary.
  • Real estate pledging: only to licensed lender that extended a loan TO the fund.
  • Public fund board: minimum 3 directors, at least 2 or 1/3 independent; meets twice annually with compliance officer.
  • Public-fund limits: 10% single issuer, 10% illiquid, 15% leverage and 15% derivatives; a holding must not represent more than 20% of another fund's NAV, while no more than 25% of the public fund's own NAV may be invested in one fund or funds from the same CMI.
  • Open-ended funds: minimum 2 dealing days per week; NAV-based redemption; 4 decimal places for unit prices.
Chapter 1: Investment Fund Regulations

The Investment Fund Regulations make the fund manager primarily responsible for managing the fund, offering its units and keeping its terms and conditions clear, complete and accurate. The manager acts in a fiduciary capacity, must put unitholders' interests first and remains liable for loss caused by fraud, negligence, misconduct or wilful default. Delegating work to another person does not reduce that responsibility. Financial statements must be prepared in Arabic; the Arabic text prevails if a translation conflicts. Public-fund half-year statements are reviewed under SOCPA standards and annual statements are audited. Special commission arrangements may provide execution-related services or research that benefits the fund, but direct cash payments to the fund manager are prohibited.
